1. Overview
1.1 These Terms of Service ("Terms") govern your access to and use of the Proptix.ai platform, websites, and related services (collectively, the "Services"). Proptix.ai is a product of Progentix Limited, a company registered in Hong Kong (Business Registration No. 78172300) with its registered office at 14/1411, 183 Queen's Road Central, Sheung Wan, Hong Kong 999077 ("Progentix", "we", "our", "us").
1.2 By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy . If you do not agree, you must not use our Services.

2. Use of the Services
2.1 We may update or amend these Terms from time to time. Any material changes will be notified by email or a prominent notice on our website. Your continued use of the Services after any updates constitutes acceptance of the revised Terms.
2.2 You must be at least 18 years old (or the legal age in your jurisdiction) to use the Services.
2.3 You may only use the Services for lawful purposes and in accordance with these Terms.
2.4 You must not attempt to copy, modify, reverse-engineer, decompile, disassemble, or otherwise interfere with any part of the Services without our prior written consent.
2.5 Free Tier & Fair Use. Where we offer free access (currently up to three requests with four output variations per request), this allocation is limited to one per person and per organisation. We may suspend or revoke Free Tier access if we suspect abuse, fraud, or misuse.
2.6 Communications. By using the Services, you consent to receiving operational emails or SMS messages necessary to provide access, security alerts, and important notices. You may opt out of marketing communications at any time.
3. Intellectual Property and Licences
3.1 Ownership. We and our licensors own all rights in the Services and underlying models.
3.2 Your Content. You retain ownership of content you submit to the Services (“Customer Content”). You grant us a worldwide, royalty-free licence to host, process, and use Customer Content solely to provide and improve the Services. We do not use Customer Content to train unrelated foundation models without your consent.
3.3 Outputs. Subject to payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and commercially exploit AI-generated outputs (“Outputs”) for your own projects. You may not resell the Services, distribute Outputs as a competing dataset or model, or remove proprietary notices.
3.4 Third-Party Rights. You are responsible for ensuring you have the rights to any Customer Content you upload and that it does not infringe privacy, IP, or publicity rights.
4. Liability and Disclaimers
4.1 Our Services use artificial intelligence (AI) and may incorporate data from third-party providers.
4.2 Outputs (including cost and timeframe estimates) are estimates only and will vary by supplier, region, materials, and site conditions.
4.3 You must verify Outputs with qualified professionals before relying on them.
4.4 The Services are provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties.
4.5 Consumer Law. Nothing in these Terms excludes or limits rights that cannot be excluded under applicable consumer laws. If you are an Australian consumer, you may have non-excludable rights under the Australian Consumer Law.
4.6 To the maximum extent permitted by law, our aggregate liability for all claims relating to the Services shall not exceed the amounts paid by you to us for the Services in the six (6) months preceding the event giving rise to liability.
4.7 You agree to indemnify and hold harmless Progentix Limited, its affiliates, directors, officers, employees, and agents from any claim, loss, or expense arising out of your use of the Services.
4.8 Any information provided does not take into account your personal objectives, financial situation, or needs. You should seek independent advice from a qualified professional before making financial or investment decisions.
4.9 From time to time, we may introduce you to third-party service providers. These introductions do not constitute endorsements, and we are not a party to any agreement you make with them.
5. Third-Party Links
5.1 The Services may include links to third-party websites, content, or services.
5.2 We are not responsible for examining or evaluating such third-party materials, nor do we warrant their accuracy, reliability, or suitability.
5.3 We accept no liability for any loss, damage, or harm arising from your use of third-party websites or services.
6. Product and Service Terms
6.1 By purchasing a product or service from us, you agree to the following terms.
6.2 Fixed-Term Programs. When you purchase a fixed-term program (e.g. Flip180), you agree to pay the full program fee, either upfront or by approved instalments.
6.3 Instalments. Instalments are a payment plan for the total program fee and not a subscription. Choosing instalments does not reduce the program fee.
6.4 Late or Failed Payments. If an instalment is more than 3 days overdue, we may suspend access until paid. If payment remains overdue after 3 days’ written notice to cure, we may accelerate the balance of the program fee.
6.5 Late Fee. A reasonable late fee (currently AUD $60 or local equivalent) may apply where permitted by law. We will not charge unlawful or excessive fees.
6.6 Collections and Credit Reporting. If amounts remain unpaid after notice, we may refer the account to collections and, where lawful, report the default. You agree to reimburse reasonable collection costs.
6.7 Where the Customer is a corporation, the signatory guarantees the Customer’s obligations.
6.8 Prices are inclusive of applicable taxes, which will be added where required.
7. Membership and Programs
7.1 The Flip 180 Program is a 6-month fixed term only. They include platform access, AI assistants, training materials, community access, online support for the purchased term.
7.2 The Enterprise Circle Program is a 12-month fixed term only. They include platform access, AI assistants, training materials, community access, guidance, and periclitated support for the purchased term.
7.3 Programs do not auto-renew. At the end of the term, you may choose to extend or re-enroll.
8. Refund Policy
8.1 Refund eligibility. We offer refunds if the program purchased was not delivered.
Refunds do not apply to:
8.2 No refund is available if you fail to utilise the program, or breach these Terms.
8.3 Refund requests must be submitted in writing to info@proptix.ai.
8.4 Approved refunds will be processed within 14 business days.
9. Termination
9.1 We may suspend or terminate your access immediately for material breach, unlawful use, or non-payment after notice.
9.2 You may stop using the Services at any time; however, for fixed-term program the full program fee remains payable, except where a refund is expressly provided under Section 8.
9.3 Upon termination or expiry, your licence to use the Services ends, but you may continue to use Outputs already generated in accordance with Section 3.3.
10. Governing Law
10.1 These Terms are governed by and construed in accordance with the laws of Hong Kong.
10.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
10.3 Consumer Protection. If mandatory consumer protection laws in your place of residence apply and cannot be excluded, these Terms do not limit those rights.
11. General Provisions
11.1 Force Majeure – We are not responsible for any delay or failure caused by events beyond our reasonable control, including natural disasters, system outages, or government restrictions.
11.2 Severability – If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.
11.3 Entire Agreement – These Terms, together with our Privacy Policy, constitute the entire agreement between you and Progentix Limited regarding the Services.
12. Service Levels
12.1 We will use reasonable efforts to keep the Services available and functioning but do not guarantee uninterrupted or error-free operation.
12.2 We may perform maintenance, updates, or changes that may temporarily affect availability. Where practicable, we will provide notice.
12.3 No service credits or refunds are provided for downtime unless expressly agreed in writing.
13. Data Processing and Privacy
13.1 Our collection, use, and disclosure of personal data are described in our Privacy Policy at https://proptix.ai/privacypolicy, which forms part of these Terms.
13.2 Customer Content and personal data are primarily hosted in Singapore (ap-southeast-1), with backups stored in secondary regions. We may process data in other locations where our personnel or subprocessors operate, subject to safeguards.
13.3 We may engage vetted third-party subprocessors. We remain responsible for their performance.
13.4 Where required by law, we implement appropriate safeguards for international transfers.
13.5 We use reasonable technical and organisational measures to protect Customer Content and personal data against unauthorised access, loss, or alteration.
14. Export Controls and Sanctions
14.1 You represent that you are not located in or ordinarily resident of any country subject to comprehensive sanctions or embargoes, and are not on any denied-party list.
14.2 You must not export, re-export, or otherwise transfer the Services in breach of applicable laws.
14.3 You must notify us if you become subject to sanctions that would prohibit or materially limit your use of the Services.
15. Dispute Resolution
15.1 Before commencing court proceedings (other than urgent injunctive relief), both parties must attempt to resolve disputes in good faith through mediation administered by the Hong Kong International Arbitration Centre under its Mediation Rules.
15.2 If unresolved within 30 days of mediator appointment, either party may proceed under Section 10.
15.3 Nothing prevents either party from seeking urgent injunctive relief to protect confidential information or intellectual property.
16. User Generated Content
16.1 By submitting, posting, or displaying content through our app, you grant Proptix.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content as necessary to operate the service.
16.2 You agree not to post any content that is unlawful, abusive, offensive, obscene, pornographic, defamatory, or otherwise objectionable. We reserve the right to remove any user-generated content that violates these terms or is otherwise deemed inappropriate at our sole discretion.
16.3 We may also suspend or terminate accounts that are found to be engaging in abusive or harmful behaviour.
16.4 Users can report inappropriate content or behaviour through the app, and we are committed to reviewing all reports and taking action within 24 hours.
